The terms of the service.

These Terms are a binding agreement between you and Applied Ego Software LLC, the Missouri limited liability company that operates Mainstay Systems (“we,” “us,” or “our”). If you use the service on behalf of a business, you represent that you are authorized to bind that business.

Mainstay Systems builds and hosts a custom website for local businesses and runs automated customer texting and a Google review program on top of it, along with related setup, support, and account tools. We may improve or change features over time.

You must be at least 18 and provide accurate information. You are responsible for activity under your account and for keeping your login secure. Tell us promptly of any unauthorized use.

• The plan is a flat $297 per month, billed in advance and auto-renewing each cycle until cancelled.
• Standard carrier messaging fees (for example, SMS/MMS and phone numbers) are passed through at cost — typically a few dollars a month for a normal shop.
• Taxes may apply. You authorize us and our payment processor to charge your payment method for all amounts due.
• Failed or late payments may result in suspension of the service.

The plan is month-to-month with no contract — cancel anytime and service continues through the end of the paid period. We also offer a 30-day make-it-work guarantee: if you are not seeing more reviews and recovered calls in your first month, contact us and we will refund that month. Outside the guarantee, fees already paid are non-refundable except where required by law.

You own your business content (your photos, logo, story, and business information) and your domain. If you leave, you keep both, and we will hand over your content. The website we design and build — its design, code, and structure — is part of the service and remains ours while your subscription is active and after it ends. If you cancel and want to keep the website itself, we offer a one-time buyout: contact us for the current buyout price, and on payment we transfer the complete site to you. You grant us the license needed to host, build, edit, and operate the service on your behalf. You are responsible for the accuracy and legality of content you provide.

You may not use the service to send unlawful, deceptive, or unsolicited messages, or to violate any telemarketing or anti-spam law.

We provide tools to capture and document consent, process STOP/HELP automatically, suppress contacts who opt out, and respect quiet hours. You agree to use them and not to disable or circumvent them. See our SMS Terms for how messaging works. We may suspend messaging that puts carrier registration or recipients at risk.

Our review program invites your real customers to leave honest feedback. We do not gate, filter, incentivize, or fabricate reviews, and we reply to reviews in your voice in line with Google's policies. You agree not to ask us to do otherwise.

The service relies on third parties such as Google (Business Profile), Twilio (messaging), and our hosting and database providers. Your use of those features may also be subject to their terms, and we are not responsible for their acts or outages. See the subprocessor list in our Data Processing Addendum.

The Mainstay Systems platform, software, and brand are owned by Applied Ego Software LLC and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the service while your account is active. You may not copy, resell, or reverse-engineer the platform.

The service is provided “as is” and “as available.” We do not guarantee specific results, rankings, message delivery, or uninterrupted operation. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Applied Ego Software LLC will not be liable for indirect, incidental, special, or consequential damages, and our total liability for any claim will not exceed the amount you paid us in the three months before the claim arose.

You agree to indemnify and hold Applied Ego Software LLC harmless from claims arising out of your content, your messaging to your customers, your violation of these Terms, or your violation of any law or third-party right.

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules. Any dispute will be resolved by binding arbitration seated in Missouri, on an individual basis — you and we waive any right to a jury trial or to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing hello@mainstaysystems.co. Nothing here prevents either party from seeking relief in small-claims court.

We may update these Terms as the service or the law changes. We will update the “Last updated” date and, for material changes, provide additional notice. Continued use after changes means you accept them.
